
MODERN SLAVERY AND HUMAN TRAFFICKING STATEMENT

Introduction
1.1 Modern slavery is a crime and a violation of fundamental human rights. It can take various forms, such as slavery, servitude, forced and compulsory labour and human trafficking, all of which have in common the deprivation of a person’s liberty by another in other to exploit them for personal or commercial gain.
1.2 We are committed to ensuring that our staff are not subject to behaviour or threats that may amount to modern slavery, human trafficking, forced labour, and/or similar human rights abuses. We are also committed to ensuring that there is transparency in our own business and in our approach to tackling modern slavery throughout our supply chains.
1.3 This statement sets down our commitment to preventing slavery and human trafficking in our business activities and the steps we have put in place to ensure that there is no slavery or human trafficking in our own business and supply chains. We all have a duty to be alert to risks, however small. Staff are expected to report their concerns and management to act upon them.
2. Our Business and Supply Chain
2.1 We are a specialist mergers and acquisitions (M&A) advisory firm. Our work focuses on advising business owners who wish to sell their companies and assisting buyers seeking to acquire suitable target businesses. Our services include market research, business valuation, transaction structuring, due diligence support, and negotiation guidance.
2.2 Our business is primarily knowledge- and relationship-driven. While we do not operate in sectors typically associated with a high risk of modern slavery, we recognise that our professional activities may involve engaging external consultants, legal and financial advisers, data providers, and technology partners. We are committed to ensuring these relationships are managed responsibly and in line with our values.
2.3 We expect all professional service providers, suppliers, and counterparties we work with to uphold ethical standards and comply with applicable employment, labour and human rights legislation. As part of our risk management process, we review our key suppliers and partners and require that they operate fair working practices.
2.4 Our supply chain is relatively limited and primarily consists of regulated professional firms and reputable service providers such as law firms, accountants, corporate finance advisers, and technology platforms. While the overall risk of modern slavery within this supply chain is low, we remain vigilant and continue to assess and address potential risks.
3. Our Process for Managing Risk
3.1 In order to assess the risk of modern slavery, we use the following processes:
3.1.1 Identify and assess potential risk areas when engaging with new clients;
3.1.2 Review the potential for risk at regular intervals;
3.1.3 Protect whistleblowers.
3.2 We have reviewed our policies and procedures to assess their effectiveness in identifying and tackling modern slavery. The prevention, detection and reporting of modern slavery in any part of our business or supply chains is also the responsibility of those working for us or under our control. Employees are required to avoid any activity that might lead to, or suggest, a breach of this policy and must notify their manager as soon as possible if they believe of suspect a breach of this policy has occurred.
4. Identified Risks
4.1 After due consideration we believe that we are in a low-risk position and we are confident that there is no slavery or human trafficking taking place directly within our organisation or other organisations we work with. However, we continue to be alert to the potential for problems.
5. Policies
5.1 The following policies set down our approach to the identification of modern slavery risks and steps to be taken to prevent slavery and human trafficking in our operations:
5.1.1 Whistleblowing policy – the Company encourages all its workers, customers and other business partners to report any concerns related to its direct activities or its supply chains.
5.1.2 Company Code of Conduct – The Code of Conduct sets down the actions and behaviour expected of employees when representing the Company.
6. Policy Compliance
6.1 Any employee who breaches this policy will face disciplinary action, which could result in dismissal for misconduct or gross misconduct. We may terminate our relationship with other individuals and organisations working on our behalf if they breach this policy.
7. Reviews
7.1 This Modern Slavery and Human Trafficking Statement will be regularly reviewed and updated as necessary. The Directors endorse this policy statement and are fully committed to its implementation.
